Welcome to HausCompass. These Terms of Service ("Terms") govern your access to and use of the HausCompass platform, including our website, mobile applications, and services (collectively, the "Service"). By accessing or using HausCompass, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using HausCompass, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including property owners, organization members, and guests accessing shared property information.

2. Description of Service

HausCompass is a property management platform that enables users to:

• Track and organize property maintenance records, documents, and systems
• Manage property ownership transfers with secure digital handoffs
• Collaborate with organizations such as builders, brokerages, and service providers
• Share property information with authorized parties
• Generate reports and access historical property data

Particular Labs reserves the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. User Accounts

To use HausCompass, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

You may not use another user's account without permission, share your account credentials, or create multiple accounts. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Property Data and Content

You retain ownership of all property data, documents, and content you upload to HausCompass. By using the Service, you grant Particular Labs a limited license to:

• Store, process, and display your content as necessary to provide the Service
• Create backups and ensure data availability
• Generate anonymized analytics to improve the platform

You are responsible for the accuracy and legality of all content you upload. You agree not to upload content that infringes on intellectual property rights, violates privacy laws, or contains malicious code.

5. Intellectual Property

The HausCompass platform, including its software, design, trademarks, and content, is the property of Particular Labs and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or reverse-engineer any part of the Service without our express written permission.

6. Prohibited Uses

You agree not to:

• Use the Service for any illegal purpose or in violation of any local, state, national, or international law
• Attempt to gain unauthorized access to any part of the Service or other users' accounts
• Interfere with or disrupt the Service or servers connected to it
• Use automated tools (bots, scrapers) to access the Service without permission
• Transmit any viruses, malware, or harmful code
• Impersonate any person or entity or misrepresent your affiliation
• Harvest or collect personal information about other users

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAUSCOMPASS AND PARTICULAR LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE TRANSMITTED THROUGH THE SERVICE; OR (D) ANY ERRORS OR OMISSIONS IN ANY CONTENT. THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

8. Indemnification

You agree to indemnify, defend, and hold harmless Particular Labs, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.

9. Termination

You may terminate your account at any time by contacting us or using the account settings in the Service. We may suspend or terminate your account immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will cease immediately. We will provide you with a reasonable opportunity to export your property data before permanent deletion.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. When we do, we will update the "Last updated" date at the top of this page and notify you via email or through the Service. Your continued use of HausCompass after such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.
